Terms of Service

These terms govern your download, installation, and use of the Caxton application and the caxton.app website. By using either, you agree to them.

1. The license

Caxton is licensed, not sold. Subject to these terms and payment of the applicable fees, we grant you a personal, non-exclusive, non-transferable license to install and use Caxton on Macs that you own or control, for any lawful purpose, per the plan you purchased:

Trial — full functionality for 14 days, free of charge, one trial per person.
Subscription (monthly or annual) — use of the then-current version and all updates released while your subscription is active. Subscriptions work offline with a 30-day grace period between license validations.
Lifetime — perpetual use of Caxton, including all future updates to it, with no renewal.

If a subscription lapses, Caxton remains installed and opens your files in read-only mode — you can always view, search, copy, and export your data. Editing resumes when the subscription does.

2. What you may not do

Redistribute, sublicense, rent, or resell Caxton or your license key.
Circumvent license enforcement or the trial period.
Reverse-engineer the software except to the extent the law expressly permits it notwithstanding this term.

3. Your files

Your files are yours. Caxton claims no rights over anything you open, edit, or create with it. Everything the app does happens locally on your machine — see the privacy policy.

4. Payments, renewals, refunds

Prices are shown at purchase and may change for future purchases; changes never affect a lifetime license already bought.
Subscriptions renew automatically until cancelled. Cancel any time; access continues until the end of the paid period.
If Caxton isn't working for you, email Support support@caxton.app within 14 days of a purchase for a full refund.

5. Updates and availability

We ship updates through the app's built-in updater. We may add, change, or remove features in updates. We are not obligated to provide updates to trial users or lapsed subscriptions.

6. Disclaimer of warranties

CAXTON IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED. YOU ARE RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR FILES.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HWY ENIGMA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF CAXTON. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR CAXTON IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

8. Termination

We may terminate your license if you materially breach these terms and do not cure the breach within 14 days of notice. You may stop using Caxton at any time. Sections 3, 6, 7, and 10 survive termination.

9. Changes to these terms

We may update these terms; the current version always lives at caxton.app/terms.html with its effective date. Continued use after a change constitutes acceptance. Material changes will be noted in release notes.

10. Governing law

These terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in New Hanover County, North Carolina.
